VE+ Terms & Conditions

1. Definitions

• "Valley Eats", "we", "us", or "our" means Valley Eats and its affiliates, operating from 1356 Pembroke Street West, Pembroke, Ontario, Canada.
• "VE+" or "Program" means the Valley Eats loyalty rewards program described in these Terms.
• "Member", "you", or "your" means an individual who has enrolled in VE+ and whose membership is in good standing.
• "Eligible Order" means an order placed through the Valley Eats platform by a Member using their enrolled account, meeting the applicable minimum order value.
• "Points" means the reward points earned by Members through Eligible Orders and other qualifying activities under the Program.
• "VE+ Restaurant" means a restaurant partner that participates in the Program, as indicated in the Valley Eats app or website.
• "VE+ Favs" means the two (2) restaurants a Member has designated as their preferred restaurants under the Program.

2. Eligibility & Enrolment

• You must be at least eighteen (18) years of age and a resident of Canada with a valid Valley Eats customer account to enrol in VE+.
• VE+ is limited to one (1) membership per individual. You may not maintain multiple memberships or enrol on behalf of another person.
• Membership is personal to you and is not transferable, assignable, or saleable. Your membership, benefits, and Points cannot be shared with, gifted to, or combined with another account.
• You are responsible for the accuracy of the information on your Valley Eats account, including your date of birth (used to determine your birthday bonus) and email address (used for Member communications).

3. Membership & Fees

3.1 Subscription Cost

• VE+ membership is offered at $9.99 CAD per month or $99.99 CAD per year. The annual plan includes two (2) months free relative to the monthly rate.
• All fees are quoted in Canadian dollars and are exclusive of any applicable taxes, which will be added at the time of billing where required.

3.2 Billing & Automatic Renewal

• By enrolling in VE+, you authorize Valley Eats (and our payment processors) to charge your selected payment method for the applicable membership fee, plus applicable taxes, on a recurring basis until you cancel.
• Your membership will automatically renew at the end of each billing cycle (monthly or annually, based on the plan you selected), at the then-current membership fee, unless you cancel before the renewal date.
• If your payment method is declined, we may attempt to charge it again and may suspend or terminate your membership if payment cannot be collected.
• You are responsible for keeping your payment information current in your Valley Eats account.

3.3 Cancellation

• You may cancel your VE+ membership at any time through your Valley Eats account settings, or by contacting support@valleyeats.ca.
• Cancellation takes effect at the end of your current billing period. Your VE+ benefits will remain active until that date, after which your membership will not renew and Member-only benefits will end.

3.4 Refunds

• Membership fees are non-refundable. We do not issue refunds or credits for partial months, unused portions of the annual plan, or Program benefits you did not use.
• In exceptional circumstances (such as duplicate charges or billing errors), we may issue refunds at our discretion.

4. VE+ Benefits

4.1 Delivery Fee Discounts

• $4 off delivery on Eligible Orders from any VE+ Restaurant.
• $4 off delivery on Eligible Orders from your VE+ Favs.
• 10% off delivery on Eligible Orders from non-VE+ restaurants.
• Discounts apply only to the delivery fee, not to food, service fees, taxes, or tips. Discounts cannot reduce the delivery fee below zero and no cash equivalent is offered.

4.2 VE+ Favs

• Each Member may designate two (2) restaurants as their VE+ Favs to receive the highest points-earning rate and delivery discount described in these Terms.
• VE+ Favs may be changed once per twelve (12) month membership year. We will send you an email reminder around your membership anniversary so you can update your selections.
• If a designated VE+ Fav restaurant leaves the Valley Eats platform or ceases operating, you may be permitted to select a replacement at our discretion.

4.3 Not All Restaurants Participate

• Not every restaurant on the Valley Eats platform is a VE+ Restaurant. Participating restaurants are identified with a VE+ badge in the app.
• Valley Eats may add or remove restaurants from the Program at any time without notice.

5. VE+ Points Program

5.1 Earning Points

• Members earn 15 Points per $1 spent on Eligible Orders.
• Members earn 20 Points per $1 spent on Eligible Orders from their VE+ Favs.
• Non-members earn 5 Points per $1 spent.
• Additional Points may be awarded through promotional bonuses, themed rewards, seasonal campaigns, or other Program activities, subject to their own terms.
• Points are calculated on the pre-tax subtotal of the food items in your order. Delivery fees, service fees, taxes, tips, and gift-card purchases do not earn Points unless otherwise stated.

5.2 Redeeming Points

• Points may be redeemed for rewards offered through the Valley Eats platform, in accordance with any additional redemption terms in effect at the time.
• Available rewards, redemption thresholds, and redemption methods may be changed by Valley Eats at any time.

5.3 No Cash Value, Non-Transferable, Forfeiture

• Points have no cash value, cannot be sold, traded, or transferred, and are not the property of the Member. Points do not constitute currency or a stored-value instrument.
• Points are personal to the Member and are tied to the enrolled Valley Eats account. Points cannot be combined across accounts.
• Points expire and are forfeited if your VE+ membership lapses, is cancelled, or is terminated, or if your Valley Eats account is closed or suspended. Points may also expire after a period of account inactivity, as we may specify from time to time.
• Points obtained in error, through fraud, or through misuse of the Program may be reversed or forfeited without notice.

6. Event Discounts & Special Offers

6.1 Birthday & Anniversary Bonuses

• Members receive a 2,500 Point bonus on their birthday, no purchase required, provided a valid date of birth is on file at least thirty (30) days beforehand.
• Members receive a 5,000 Point bonus on the twelve (12) month anniversary of enrolment, provided their membership is active and in good standing on the anniversary date.

6.2 Monthly Exclusive Offer

• Active Members will receive one (1) exclusive Member-only offer per month, delivered by email. The nature, value, and redemption terms of each monthly offer are set by Valley Eats and may vary.

6.3 Themed Reward Badges

• Members may earn Program badges by completing specific milestones or challenges. Each badge is tied to a defined reward (for example, a free delivery credit).
• Badge availability, eligibility criteria, and associated rewards are set by Valley Eats and may be added, removed, or modified at any time.

7. Order Requirements & Vendor Participation

7.1 Minimum Order Value

• The default minimum order value to qualify for VE+ benefits is $25, calculated on the pre-tax food subtotal.
• Individual participating restaurants may set a higher minimum, up to $40. The applicable minimum is displayed on the restaurant's page in the app.

7.2 Participating Vendors

• Program benefits apply only to orders that meet the Program's eligibility requirements. Benefits do not apply to cancelled, refunded, fraudulent, or non-compliant orders.

8. Communications & Privacy

• By enrolling in VE+, you consent to receive transactional and Program-related communications from Valley Eats — including billing notices, cancellation confirmations, birthday and anniversary rewards, the monthly Member offer, and other Program updates — by email or through the Valley Eats app.
• Some Program communications are essential to your membership and cannot be opted out of while your membership remains active. You may withdraw consent by cancelling your membership.
• Valley Eats' collection, use, and disclosure of your personal information under the Program is governed by our Privacy Policy.

9. Modifications, Suspension & Termination

9.1 Changes to the Program

• Valley Eats reserves the right to modify, suspend, or discontinue any part of the Program at any time, including pricing, benefits, Point earn rates, redemption thresholds, participating restaurants, or these Terms.
• We will provide reasonable advance notice by email of material changes that adversely affect existing Members. Continued participation in the Program after the effective date of a change constitutes acceptance of that change.

9.2 Suspension & Termination by Valley Eats

• Valley Eats may suspend or terminate your VE+ membership, cancel outstanding Points, or reverse benefits at any time, without refund, if we reasonably believe you have: engaged in fraudulent or deceptive activity; misused Program benefits; violated these Terms, the Valley Eats Terms of Service, or applicable law; or otherwise acted in a manner that harms Valley Eats, our partners, or other users.
• If we discontinue the Program in its entirety, we will provide reasonable advance notice and, for annual Members, pro-rate a refund of unused membership fees calculated from the discontinuation date.

10. Disclaimers

The Program is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Valley Eats disclaims all representations, warranties, and conditions of any kind — whether express, implied, statutory, or otherwise — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Program will be uninterrupted, error-free, or that any specific benefit, offer, or restaurant will be available at any given time.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Valley Eats' total aggregate liability to you arising out of or related to the Program shall not exceed the total membership fees paid by you to Valley Eats in the twelve (12) months immediately preceding the event giving rise to the claim.

In no event shall Valley Eats be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, loss of goodwill, or loss of Points — arising out of or related to the Program, even if advised of the possibility of such damages. Nothing in these Terms limits any liability that cannot be limited under applicable Canadian consumer protection law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Valley Eats, its affiliates, and its and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms or your misuse of the Program.

13. Governing Law & Dispute Resolution

• These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
• Before filing a formal claim, you agree to first contact us at support@valleyeats.ca so we can attempt to resolve the matter informally.
• Subject to any non-waivable rights you may have under applicable consumer protection law, the parties submit to the jurisdiction of the courts of the Province of Ontario for the resolution of any dispute arising out of or related to these Terms or the Program.

14. General Provisions

• Entire agreement. These Terms, together with the Valley Eats Terms of Service and Privacy Policy, constitute the entire agreement between you and Valley Eats regarding VE+ and supersede any prior or contemporaneous agreements on the subject.
• Severability. If any provision of these Terms is held to be unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
• Assignment. You may not assign or transfer these Terms or your VE+ membership. Valley Eats may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
